Terms of Service
Rules governing access to and use of the Keyli Platform.
1. About These Terms
These Terms of Service ('Terms') govern your access to and use of the Platform operated by Keyli Pty Ltd ('Keyli'). The Platform comprises keyli.com.au, all subdomains, and associated mobile applications.
These Terms must be read together with: the Keyli User Agreement; the Privacy Policy; and (for Sellers) the Contract to Sell — Platform Listing Agreement. In case of conflict, the order of precedence is: (1) Privacy Policy; (2) Terms of Service; (3) User Agreement; (4) Contract to Sell.
The Platform operates across all Australian states and territories. Users must comply with applicable law in their jurisdiction.
2. What Keyli Is
2.1 A Dual-Sided Property Marketplace
Keyli provides:
- A property sales marketplace connecting private sellers (FSBO) and licensed agents with buyers, in which Keyli earns a Sale Commission (% of sale price) from the Seller upon settlement of each sale introduced through the Platform; and
- An Expert Directory through which a range of property service professionals offer services to Platform users, with Keyli operating an escrow-based payment system that charges users a User Service Fee on bookings and deducts an Expert Commission from Expert payouts on escrow release.
2.2 What Keyli Is Not
Keyli is a technology intermediary and payment facilitator. Keyli is not a licensed real estate agent, property manager, solicitor, conveyancer, financial adviser, mortgage broker, building inspector, or valuer. Nothing on the Platform constitutes real estate agency services, legal advice, or financial advice.
3. Registration and Accounts
- You must be at least 18 years old and legally capable of contracting in Australia
- You must provide accurate, complete registration information
- You must keep your password confidential and report any security breach immediately
- You are responsible for all activity under your account
- One account per person — duplicate or fraudulent accounts will be terminated
- Keyli may require identity verification at any time and may suspend accounts pending verification
4. Listing Rules
4.1 All Sellers
- Listings must relate to a genuine property the Seller owns or is authorised to sell or lease
- Content must be accurate, current, and not misleading contrary to the ACL (no bait pricing)
- Photos and floor plans must accurately represent the property's current state
- No duplicate Listings for the same property
- Listings must be updated to 'Sold' or deactivated within 2 business days of exchange
4.2 NSW Sellers
- A draft Contract for the Sale and Purchase of Land prepared by a solicitor or licensed conveyancer must be available for inspection before advertising (Property and Stock Agents Regulation 2022 (NSW))
- All Schedule 1 prescribed documents required by the Conveyancing (Sale of Land) Regulation 2022 (NSW) must be attached to the Contract
- From 1 June 2026: contracts must include the updated cooling-off notice (Conveyancing and Real Property Amendment Act 2025 (NSW))
4.3 Other States and Territories
Sellers must comply with the mandatory pre-contract disclosure requirements in their jurisdiction:
- Victoria: Section 32 Vendor's Statement — Sale of Land Act 1962 (Vic)
- Queensland: Disclosure Statement — Property Occupations Act 2014 (Qld)
- South Australia: Form 1 Vendor's Statement — Land and Business (Sale and Conveyancing) Act 1994 (SA)
- Western Australia: disclosure obligations — Real Estate and Business Agents Act 1978 (WA)
- Tasmania, ACT, NT: equivalent disclosure requirements in each jurisdiction
4.4 Licensed Agents
- Must hold a current real estate agent licence in each jurisdiction where they list
- Must hold written authority from the vendor for each Listing
- Must comply with the Property and Stock Agents Act 2002 (NSW) or equivalent state legislation
- Must disclose licence number and agency name in all Listings
5. Expert Directory
5.1 Expert Categories
The following Expert categories are available on the Platform:
- Licensed real estate agents
- Solicitors and licensed conveyancers
- Mortgage brokers (Australian Credit Licence holders)
- Registered property valuers
- Building and pest inspectors
- Real estate photographers and videographers
- Property-related tradies and handymen (plumbers, electricians, painters, cleaners, etc.) — see Section 5.3
5.2 Expert Independence
Experts are independent contractors, not employees or agents of Keyli. Keyli does not control how Experts perform their services. Engaging an Expert creates a direct contractual relationship between the user and the Expert.
5.3 Tradies and Handymen — User Advisory
Tradies and handymen on the Keyli Platform are verified by licence number and ABN only. Keyli does not conduct police checks, reference checks, skills assessments, or insurance verification beyond licence and ABN confirmation. Users should conduct their own due diligence before engaging a tradie, particularly for high-value or safety-critical work. For licensed trades (electrical, gas, plumbing), always verify the tradie holds the required statutory licence for the work to be performed.
5.4 Expert Pricing and Fees
When you book an Expert through the Platform, the total amount payable to Keyli comprises:
- The Expert's quoted price for the service; plus
- A User Service Fee (Keyli's charge to you, displayed clearly before booking)
Keyli deducts its Expert Commission from the Expert's quoted price before disbursing to the Expert on escrow release. The Expert Commission is agreed between Keyli and the Expert at registration and is not charged to the user.
5.5 Expert Quality
Keyli verifies Licensed Expert credentials (licence numbers, professional registrations) at registration and periodically thereafter. However, Keyli does not guarantee the quality, accuracy, timeliness, or outcome of any Expert's services. Users should obtain their own references and conduct due diligence before booking.
6. Escrow Payment System
6.1 Operation
All Expert bookings are processed through Keyli's escrow payment system. By booking an Expert you authorise Keyli to hold your payment in escrow until service delivery is confirmed or a dispute is resolved.
6.2 Escrow Release
- User confirms service completion — funds released immediately; or
- User confirms service completion on the Platform — funds auto-released immediately; or
- Keyli resolves a dispute in the Expert's favour
6.3 Refunds
Funds are returned from escrow where: the Expert cancels; the service is not delivered within the agreed timeframe; or Keyli resolves a dispute in the user's favour. ACL remedies are not excluded.
6.4 Disputes
Submit escrow disputes via the Platform within 5 business days of the Expert marking the service complete. Keyli will investigate and determine disputes within 10 business days. Keyli's determination is final subject to any overriding court or tribunal order.
6.5 Payment Processing
Keyli uses PCI-DSS compliant third-party payment processors. Keyli does not store full card numbers. Keyli is not an authorised deposit-taking institution and pays no interest on escrow funds.
7. Sale Commission
A Sale Commission of 0.35% of the final sale price (inclusive of GST) is payable to Keyli by the Seller upon settlement of a sale introduced through the Platform. Full terms are in the Contract to Sell — Platform Listing Agreement. All Sellers must sign the Contract to Sell before listing.
8. Intellectual Property
8.1 Keyli's IP
All Platform software, branding, trademarks, and original content belong to Keyli. You must not copy, scrape, or reverse-engineer Keyli's IP without written consent.
8.2 Your Content
You retain ownership of Content you upload. You grant Keyli a non-exclusive, royalty-free, worldwide licence to use your Content for Platform operation, marketing, and aggregated analytics. This licence continues as long as necessary for legitimate business and legal compliance purposes.
8.3 Third-Party Data
Property data (valuations, suburb statistics) may come from licensed third-party providers and is for informational purposes only. Keyli makes no warranty as to accuracy or currency.
9. Privacy
Keyli's information practices are governed by the Privacy Policy, which forms part of these Terms. The escrow payment system involves Keyli collecting and processing financial information; see the Privacy Policy for details.
10. Platform Availability
Keyli aims for high Platform uptime but cannot guarantee uninterrupted access. Maintenance windows, modifications, and emergency downtime may occur. Material changes to features will be notified with at least 30 days' notice where reasonably practicable.
11. Disclaimers
To the maximum extent permitted by law, the Platform is provided 'as is'. Keyli does not warrant that: the Platform will be error-free; Listing content is accurate; any property will sell at any price; or any Expert service will achieve any particular outcome. These disclaimers do not affect non-excludable ACL Consumer Guarantees.
12. Limitation of Liability
Subject to the ACL, Keyli's maximum aggregate liability to any user is the greater of: (a) total fees/commissions paid by that user to Keyli in the preceding 12 months; or (b) AUD $500. Keyli excludes all liability for indirect, special, consequential, or punitive losses.
13. Indemnity
You indemnify Keyli against all claims, losses, and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Content; (c) your violation of any law or third-party rights; or (d) any Transaction or Expert engagement you enter into through the Platform.
14. Dispute Resolution
14.1 Internal
Contact hello@keyli.com.au. Keyli will acknowledge within 2 business days and respond substantively within 20 business days.
14.2 External
- Unresolved disputes with Keyli: Australian Disputes Centre mediation (shared cost) before litigation
- Licensed agent conduct: NSW Fair Trading (1300 36 26 36) or equivalent state body
- Solicitor conduct: Law Society of the relevant state
- Mortgage broker conduct: MFAA or AFCA (Australian Financial Complaints Authority)
- Building inspector conduct: AIBS or state licensing body
- Tradie disputes: state consumer protection authority (e.g. NSW Fair Trading)
- Privacy complaints: OAIC (1300 363 992 | www.oaic.gov.au)
14.3 Governing Law
These Terms are governed by the laws of New South Wales, Australia. All parties submit to the non-exclusive jurisdiction of NSW courts and applicable federal courts.
15. Suspension and Termination
- You may close your account at any time via settings or by emailing hello@keyli.com.au
- Keyli may suspend or terminate immediately for material breach, fraud, or legal requirement
- Keyli may terminate with 30 days' notice for any other reason
- Outstanding commission obligations survive termination
- Escrow funds are handled per Section 6 on termination
- Sections 8, 11, 12, 13, and 14 survive termination
16. Amendments
Keyli may update these Terms at any time. Material changes will be notified on the Platform and by email with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
